A.S Rent-a-Car Rental Agreement Terms (Example)

(Enforced March 10, 2023)
~ Standard Rent-a-Car Rental Agreement ~

Chapter 1  General Provisions

Article 1 (Application of the Terms and Conditions)
The Company shall lend a rental automobile (hereinafter, the “Rental Car”) to the borrower (hereinafter, the “Renter”) in accordance with these Terms and Conditions, and the Renter shall rent the same.
Matters not stipulated in these Terms and Conditions shall be governed by laws and ordinances or by general custom.

  1. The Company may, within the scope not contrary to the purport of these Terms and Conditions, laws and ordinances, administrative notices, and general custom, enter into special agreements. In such case, the special agreement shall take precedence over these Terms and Conditions.

Chapter 2  Reservation

Article 2 (Application for Reservation)
When renting a Rental Car, the Renter may, after agreeing to these Terms and Conditions and to the separately prescribed price list, apply in advance for a reservation by the method separately prescribed, clearly indicating the vehicle class, rental start date and time, rental location, rental period, return location, driver, whether child seat(s) or other accessories are required, and other rental conditions (hereinafter, the “Rental Conditions”).

  1. Upon receiving an application for reservation from the Renter, the Company shall, in principle, accept the reservation within the scope of Rental Cars it possesses. In this case, unless the Company specifically permits otherwise, the Renter shall pay a separately prescribed reservation application deposit.

Article 3 (Change of Reservation)
If the Renter intends to change the Rental Conditions stipulated in paragraph 1 of the preceding Article, the Renter must obtain the Company’s prior consent.

Article 4 (Cancellation of Reservation, etc.)
The Renter may cancel a reservation by the method separately prescribed.

  1. If, for reasons attributable to the Renter, one hour or more has elapsed from the reserved rental start time and the Renter has not commenced procedures to conclude the Rent-out Agreement (hereinafter, the “Rental Agreement”), the reservation shall be deemed cancelled.

  2. In the cases set forth in the preceding two paragraphs, the Renter shall pay the Company a reservation cancellation fee as separately prescribed, and upon such payment the Company shall refund to the Renter the reservation application deposit already received.

  3. If, due to reasons attributable to the Company, a reservation is cancelled or the Rental Agreement is not concluded, the Company shall refund the reservation application deposit already received, and, in addition, pay a penalty as separately prescribed.

  4. If the Rental Agreement is not concluded due to an accident, theft, non-return, recall, natural disaster, or any other cause not attributable to either the Renter or the Company, the reservation shall be deemed cancelled. In such case, the Company shall refund the reservation application deposit already received.

Article 5 (Substitute Rental Car)
If the Company is unable to rent out a Rental Car of the vehicle class reserved by the Renter, it may propose to rent out a Rental Car of a different vehicle class from that reserved (hereinafter, a “Substitute Rental Car”).

  1. If the Renter accepts the proposal in the preceding paragraph, the Company shall rent out a Substitute Rental Car under the same Rental Conditions as at the time of reservation, except for the vehicle class. In this case, if the rental fee for the Substitute Rental Car is higher than that of the reserved vehicle class, the fee for the reserved vehicle class shall apply; if it is lower, the rental fee for the Substitute Rental Car’s class shall apply.

  2. The Renter may refuse the proposal to rent a Substitute Rental Car under paragraph 1 and cancel the reservation.

  3. In the case of the preceding paragraph, if the reason the Company cannot rent out under paragraph 1 is attributable to the Company, such case shall be treated as a cancellation of reservation under Article 4, paragraph 4; the Company shall refund the reservation application deposit already received and, in addition, pay a penalty as separately prescribed.

  4. In the case of paragraph 3, if the reason the Company cannot rent out under paragraph 1 is not attributable to the Company, such case shall be treated as a cancellation of reservation under Article 4, paragraph 5; the Company shall refund the reservation application deposit already received.

Article 6 (Exemption from Liability)
Except in the cases prescribed in Articles 4 and 5, the Company and the Renter shall make no claims against each other with respect to the cancellation of a reservation or the failure to conclude a Rental Agreement.

Article 7 (Agency for Reservation Procedures)
The Renter may apply for a reservation through a travel agency, affiliated company, or other party that handles reservation business on behalf of the Company (hereinafter, the “Agent”).

  1. A Renter who applied through an Agent as set forth in the preceding paragraph may apply for changes to or cancellations of the reservation only through that Agent.

Chapter 3  Rent-out

Article 8 (Conclusion of the Rental Agreement)
The Renter shall specify the Rental Conditions stipulated in Article 2, paragraph 1, and the Company shall specify the rental conditions pursuant to these Terms and Conditions and the price list, and the Rental Agreement shall be concluded; provided, however, that this shall not apply where there is no Rental Car available to rent, or where the Renter or driver falls under any of the items in Article 9, paragraphs 1 or 2.

  1. When the Rental Agreement is concluded, the Renter shall pay to the Company the rental charges stipulated in Article 11, paragraph 1.

  2. Based on the basic administrative notice of the competent authority (Note 1), the Company shall, for the purpose of recording on the rent-out ledger (original rent-out slip) and on the rent-out certificate prescribed in Article 14, paragraph 1, the driver’s name, address, class of driver’s license, and driver’s license number, or for attaching a copy of the driver’s license, require, at the time of concluding the Rental Agreement, that the driver designated by the Renter (hereinafter, the “Driver”) present his/her driver’s license and submit a copy thereof. In this case, if the Renter is the Driver, the Renter shall present and submit a copy of his/her own driver’s license; if the Renter and the Driver are different persons, the driver’s license of the Driver shall be presented and a copy submitted.

  1. At the time of concluding the Rental Agreement, the Company may require the Renter and the Driver to submit identification documents in addition to the driver’s license and may retain copies of such documents.

  2. At the time of concluding the Rental Agreement, the Company shall request notification of a mobile phone number and other contact information for communicating with the Renter and the Driver during the rental period.

  3. At the time of concluding the Rental Agreement, the Company may require payment by credit card or cash from the Renter, or specify another method of payment.

Article 9 (Refusal to Conclude Rental Agreement)

      • The Renter has previously defaulted on rental payment obligations.

      • The Renter has previously engaged in any act listed in Article 17.

      • The Renter has previously violated the Rental Agreement or insurance terms, resulting in inapplicability of automobile insurance.

      • The Renter fails to meet other conditions separately specified by the Company.

    3. In the cases described in the preceding two paragraphs, if a reservation has already been established with the Renter, such reservation shall be deemed canceled. If a reservation cancellation fee has already been paid, the Company shall refund the reservation deposit received.

  4. Article 10 (Formation of the Rental Agreement, etc.)

    1. The Rental Agreement shall be deemed formed when the Renter pays the rental charges to the Company, and the Company delivers the Rental Car to the Renter. In this case, the reservation deposit already received shall be applied toward the rental charges.

    2. The delivery described in the preceding paragraph shall be conducted at the rental location and on the start date and time specified in Article 2, paragraph 1.

  5. Article 11 (Rental Charges)

The basic rate shall be the rate filed and approved with the Director of the District Transport Bureau (for Hyogo Prefecture, the Director of the Hyogo Land Transport Office under the Kobe Transport Oversight Department; for Okinawa Prefecture, the Director of the Okinawa General Bureau Land Transport Office).

    3. If the rental charges are revised after a reservation has been made pursuant to Article 2, the lower of the two rates—those applicable at the time of reservation or at the time of rental—shall apply.

  6. Article 12 (Changes to Rental Conditions)

    1. If the Renter wishes to change the Rental Conditions stipulated in Article 8(1) after the conclusion of the Rental Agreement, the Renter must obtain prior consent from the Company.

    2. The Company may refuse such change if it would interfere with rental operations.

  7. Article 13 (Inspection, Maintenance, and Confirmation)

    1. The Company shall conduct inspections prescribed under Article 48 of the Road Transport Vehicle Act (Periodic Inspection and Maintenance) and rent out only vehicles that have undergone necessary maintenance.

    2. The Company shall also conduct inspections prescribed under Article 47-2 of the same Act (Daily Inspection and Maintenance) and perform necessary maintenance.

    3. The Renter or Driver shall confirm that the inspections and maintenance described above have been performed and, based on the separately specified inspection checklist, that the vehicle body, exterior, and accessories are in good condition and meet the rental conditions.

    4. If any defect is discovered during such confirmation, the Company shall promptly perform the necessary maintenance or repair.

  8. Article 14 (Issuance and Possession of the Rental Certificate)

    1. Upon delivery of the Rental Car, the Company shall issue to the Renter or Driver a Rental Certificate (as prescribed by the Director of the District Transport Bureau) containing the required information.

    2. The Renter or Driver must carry the Rental Certificate while using the vehicle.

    3. If the Renter or Driver loses the Rental Certificate, they must immediately notify the Company.

    4. When returning the vehicle, the Renter or Driver must also return the Rental Certificate to the Company.

  9. Chapter 4 – Use of the Vehicle

    Article 15 (Duty of Care)

The Renter or Driver shall, from the time of delivery of the Rental Car until its return to the Company (“the period of use”), use and store the Rental Car with the duty of care of a prudent manager.

Article 16 (Daily Inspection and Maintenance)

The Renter or Driver shall, during the period of use, perform daily inspections and necessary maintenance of the Rental Car as prescribed under Article 47-2 of the Road Transport Vehicle Act before each day’s use.

    Article 17 (Prohibited Acts)

The Renter or Driver shall not engage in the following acts during the period of use:

    • Use the Rental Car for transport business or similar purposes without the Company’s consent or the necessary authorization under the Road Transport Act.

    • Use the Rental Car for purposes other than those specified, or allow anyone other than the driver(s) listed on the Rental Certificate or those approved by the Company to operate the vehicle.

    • Sublet the vehicle, use it as collateral, or engage in any act infringing the Company’s ownership rights.

    • Forge or alter the vehicle’s registration number plates, or modify/convert the vehicle from its original condition.

    • Use the vehicle for testing, competition, towing, or pushing other vehicles without the Company’s consent.

    • Use the vehicle in violation of laws or public order and morals.

    • Purchase any separate damage insurance for the vehicle without the Company’s approval.

    • Take the Rental Car outside Japan.

    • Engage in any other act violating the rental conditions stipulated in Article 8(1).

  10. Article 18 (Measures in Case of Illegal Parking)

    1. If the Renter or Driver parks the Rental Car illegally as defined in the Road Traffic Act during the rental period, they must promptly report to the local police station, pay any applicable fines, and bear all expenses related to towing, storage, and retrieval of the vehicle.

    2. If the Company receives a notice from the police of an illegal parking violation involving the Rental Car, the Company shall contact the Renter or Driver, instruct them to promptly move or retrieve the vehicle, and require them to appear at the relevant police station by the end of the rental period (or the time specified by the Company) to resolve the violation. The Company may, at its discretion, retrieve the vehicle from the police directly.

    3. The Company shall confirm the violation resolution status using a traffic violation notice, payment slip, or receipt, and if unresolved, continue to instruct the Renter or Driver until the matter is resolved. The Company may also require the Renter or Driver to sign a Written Acknowledgment admitting the violation and agreeing to comply with the legal procedures as the violator.

    4. The Company may, when necessary, submit the Written Acknowledgment and related materials (including personal information) to the police or other authorities, and report facts to the Public Safety Commission pursuant to Article 51-4(6) of the Road Traffic Act. The Renter or Driver hereby agrees to such measures.

    5. If the Company is ordered to pay a non-payment penalty (hōchi ihan-kin) under Article 51-4(1) of the Road Traffic Act, or bears any expenses for locating the Renter/Driver, or for the vehicle’s transport, storage, or retrieval, the Company shall charge the Renter or Driver the following parking violation-related expenses, which must be paid by the deadline specified by the Company:

      • The equivalent amount of the non-payment penalty.

      • A parking violation penalty separately prescribed by the Company.

      • Costs incurred in locating the person and for towing, storage, and retrieval.

    6. If the Company is ordered to pay the non-payment penalty, or the Renter/Driver fails to pay the full amount of the above expenses by the due date, the Company shall register the Renter’s or Driver’s name, date of birth, driver’s license number, etc., in the National Rent-a-Car Association Information Management System (“Zenrekyo System”).

    7. If the Renter/Driver fails to comply with the Company’s instruction to appear at the police station or to sign the Written Acknowledgment, the Company may charge a separately determined parking violation fee, which may be applied toward the penalty or related costs.

    8. Notwithstanding paragraph 6, if the Company receives the full amount of the parking violation fee and related expenses from the Renter/Driver, the Company shall refrain from registering such information in the Zenrekyo System, or delete any data already registered.

    9. If the Renter/Driver later pays the fine or is prosecuted, the Company shall refund the amount equivalent to the non-payment penalty portion only. The same shall apply if a parking violation fee was collected under paragraph 7.

    10. If the violation payment order is revoked or the Company’s full claim is paid, the Company shall delete any data registered in the Zenrekyo System.

      Chapter 5  Return

      Article 19 (Responsibility for Return)

      1. The Renter or Driver shall return the Rental Car to the Company at the designated return location by the end of the rental period.

      2. If the Renter or Driver violates the preceding paragraph, they shall compensate the Company for all damages incurred.

      3. If the Renter or Driver is unable to return the Rental Car and accessories within the rental period due to natural disaster or other force majeure, they shall not be liable for damages incurred by the Company. In such case, the Renter or Driver shall immediately contact the Company and follow the Company’s instructions.

    11. Article 20 (Confirmation at Return, etc.)

    12. Article 21 (Rental Charges When Extending the Rental Period)
If the Renter or Driver changes the rental period pursuant to Article 12(1), they shall pay the rental charges corresponding to the period after such change.

Article 22 (Change of Return Location, etc.)

      1. If the Renter or Driver changes the rental period pursuant to Article 12(1), they shall bear the costs necessary to transfer (backhaul) the vehicle due to a change of return location.

      2. If the Renter or Driver returns the Rental Car to a location other than the designated return location without obtaining the Company’s consent under Article 12(1), they shall pay the following penalty for changing the return location:

        • Penalty for changing return location = Backhaul cost required due to the change of return location × 200%

    13. Article 23 (Measures in Case of Non-Return)

      1. If, despite expiration of the rental period, the Renter or Driver does not return the Rental Car to the designated return location and does not comply with the Company’s demand to return it, or if non-return is deemed to have occurred for reasons such as the Renter’s whereabouts becoming unknown, the Company may take legal measures including filing a criminal complaint, report the non-return damage to the National Rent-a-Car Association, and register the incident in the Zenrekyo System.

      2. If the preceding paragraph applies, the Company shall take necessary measures to confirm the vehicle’s location, including inquiries to family members, relatives, or workplace of the Renter or Driver, and activation of a vehicle location information system.

      3. If paragraph 1 applies, the Renter or Driver shall be liable to compensate the Company for damages pursuant to Article 28 and shall also bear the costs of recovering the vehicle and locating the Renter or Driver.

    14. Chapter 6  Measures in the Event of Breakdown, Accident, or Theft

Article 24 (Measures upon Discovery of a Breakdown)
If the Renter or Driver discovers an abnormality or breakdown of the vehicle during use, they shall immediately stop driving, contact the Company, and follow the Company’s instructions.

Article 25 (Measures in the Event of an Accident)

      1. If an accident involving the Rental Car occurs during use, the Renter or Driver shall immediately stop driving, take all legally required measures regardless of the severity of the accident, and take the following actions:
        (1) Immediately report the circumstances of the accident to the Company and follow the Company’s instructions.
        (2) If repair of the Rental Car is to be performed pursuant to the preceding item, it shall be carried out by the Company or a repair facility designated by the Company, unless otherwise approved by the Company.
        (3) Cooperate with investigations by the Company and the Company’s insurer in connection with the accident, and promptly submit any required documents.
        (4) Obtain the Company’s prior consent before entering into any settlement or other agreement with the other party regarding the accident.

      2. In addition to the measures in the preceding paragraph, the Renter or Driver shall handle and resolve the accident at their own responsibility.

      3. The Company shall provide advice regarding accident handling for the Renter or Driver and cooperate in its resolution.

    15. Article 26 (Measures in the Event of Theft)
If theft of the Rental Car or other damage occurs during use, the Renter or Driver shall take the following measures:
      (1) Immediately report to the nearest police station.
      (2) Immediately report the details of the damage to the Company and follow the Company’s instructions.
      (3) Cooperate with investigations by the Company and the Company’s insurer concerning the theft or other damage, and promptly submit any required documents.

Article 27 (Termination of the Rental Agreement Due to Unusability)

      1. If, during use, the Rental Car becomes unusable due to breakdown, accident, theft, or other reasons (collectively, “Breakdown, etc.”), the Rental Agreement shall terminate.

      2. In such case, the Renter or Driver shall bear the costs required for retrieval and repair of the vehicle, and the Company shall not refund rental charges already received. However, this shall not apply where the Breakdown, etc. falls under paragraph 3 or 5.

      3. If the Breakdown, etc. is due to a defect existing prior to rental, a new Rental Agreement shall be deemed concluded, and the Renter may receive a substitute rental car from the Company. The conditions for providing a substitute rental car shall be governed mutatis mutandis by Article 5(2).

      4. If the Renter does not receive a substitute rental car under the preceding paragraph, the Company shall refund all rental charges already received. The same shall apply if the Company is unable to provide a substitute rental car.

      5. If the Breakdown, etc. occurred due to reasons not attributable to the Renter, Driver, or Company, the Company shall refund to the Renter the amount obtained by deducting from the rental charges already received the portion corresponding to the period from delivery to the scheduled end of the Rental Agreement.

      6. Except for the measures provided in this Article, the Renter and Driver may make no other claims against the Company for damages arising from the inability to use the Rental Car.

    16. Chapter 7  Liability and Compensation

Article 28 (Damages and Loss of Business Compensation)

      1. If, during use of the Rental Car, the Renter or Driver causes damage to a third party or to the Company, they shall compensate for such damage; provided, however, that this shall not apply where the damage is not attributable to the Company.

      2. Among the Company’s damages in the preceding paragraph, damages arising from the Company’s inability to use the Rental Car due to accident, theft, breakdown attributable to the Renter or Driver, contamination or odor of the vehicle, etc., shall be as set forth in the price list, and the Renter or Driver shall pay such amounts.

    17. Article 29 (Insurance and Compensation)

      1. When the Renter or Driver bears liability for damages under Article 28(1), insurance proceeds or compensation shall be paid within the following limits pursuant to the damage insurance contract concluded by the Company for the Rental Car and the compensation system specified by the Company:

        • Bodily injury liability: Per person, unlimited (excluding amounts under compulsory automobile liability insurance).

        • Property damage liability: Per accident, unlimited (deductible: JPY 50,000).

        • Vehicle damage coverage: Per accident, unlimited (deductible: JPY 50,000).

        • Passenger personal accident coverage: Per person, JPY 10,000,000.

      2. If any exclusion under the insurance policy or the Company’s compensation system applies, no insurance proceeds or compensation under paragraph 1 shall be paid.

      3. Losses for which no insurance proceeds or compensation are paid, and losses exceeding the limits set forth in paragraph 1, shall be borne by the Renter or Driver.

      4. If the Company pays any amount that should be borne by the Renter or Driver, the Renter or Driver shall immediately reimburse the Company for the amount paid.

      5. The amount equivalent to premiums for the damage insurance contract in paragraph 1 and the amount equivalent to fees for participation in the Company’s compensation system are included in the rental charges.

    18. Chapter 8  Termination of the Rental Agreement

Article 30 (Termination of the Rental Agreement)
If, during use, the Renter or Driver violates these Terms and Conditions or falls under any of the items in Article 9(1), the Company may, without any notice or demand, terminate the Rental Agreement and immediately demand return of the Rental Car. In this case, the Company shall not refund rental charges already received.

Article 31 (Termination by Mutual Consent)

      1. Even during use, the Renter may terminate the Rental Agreement with the Company’s consent by paying the cancellation fee set forth in the next paragraph. In such case, the Company shall refund to the Renter the amount obtained by deducting from the rental charges already received the portion corresponding to the period from delivery to return.

      2. Cancellation fee = {(Basic rate for the entire contracted rental period) − (Basic rate corresponding to the period from delivery to return)} × 50%

    19. Chapter 9  Personal Information

Article 32 (Purposes of Use of Personal Information)
The purposes for which the Company acquires and uses the personal information of the Renter or Driver are as follows:
